VANCOUVER, BC / ACCESSWIRE / December 2, 2021 / Marvel Discovery Corp. (TSXV:MARV)(Frankfurt: O4T1)(OTCQB:MARVF); (the 'Company') is pleased to announce the closing of its first tranche of the non-brokered private placement dated November 24th,2021. The first tranche consists of aggregate gross proceeds of $908,080.05
The Company has issued 5,385,385 Flow-Through units at a price of $0.13 per unit. Each unit consisting of one Flow-Through common share and one-half of one common share purchase warrant; each whole warrant ('Warrant') entitling the holder to subscribe for and purchase one non-flow-through common share ('Warrant Shares') at a price of $0.25 for a period of 24 months following the acceptance date.
The Company has also issued 1,808,522 Non-Flow-Through units at a price of $0.115 per unit. Each unit consisting of one common share and one common share purchase warrant; each warrant ('Warrant') entitling the holder to subscribe for and purchase one non-flow-through common share ('Warrant Shares') at a price of $0.20 for a period of 24 months following the acceptance date.
Finders' fees totaling $55,858.60 will be paid in connection with the offering in accordance with the TSX Venture Exchange policies.
The proceeds from the private placement will be used for further development of the Company's property portfolio and for general working capital purposes. All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after closing of the Offering. Completion of the Offering, and payment of the Finders' fee are subject to the approval of the Exchange.
